Terms of Service

These Terms of Service ("Terms") govern your use of the Simon Says Sign Up website and service located at simonsayssignup.com (the "Service"), operated by Simon Says Sign Up ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Administrator" refers to a registered user who creates and manages an organization, sign-up sheets, and related content on the Service.
  • "Participant" refers to any individual who signs up for a slot on a sign-up sheet. Participants do not need an account to use the Service.
  • "Organization" refers to the entity created by an Administrator to manage sign-up sheets, members, and branding within the Service.
  • "Sheet" refers to a sign-up sheet created by an Administrator, containing one or more slots that Participants can sign up for.

2. Account Terms

  • You must provide accurate and complete information when registering for an account. You are responsible for maintaining the security of your account credentials.
  • Upon registration, an Organization is automatically created for your account. You are the Owner of that Organization and are responsible for all content and activity within it.
  • You may invite other users to join your Organization as Administrators or Editors. You are responsible for the actions of all members you invite to your Organization.
  • You must be at least 18 years of age to create an Administrator account.
  • One person or legal entity may maintain multiple Organizations, but each registration creates a single Organization.

3. Subscription and Billing

Plans and Pricing

The Service offers two subscription tiers:

  • Starter — $10 per month. Includes up to 25 active sign-up sheets, unlimited slots per sheet, quantity sign-ups, waitlist management, CSV export, email confirmations, custom organization URL, white-label branding, custom fields, reminders, scheduled publishing, and unlimited administrators.
  • Professional — $25 per month. Includes everything in Starter, plus unlimited active sheets, private/invite-only sheets, recurring sheets, engagement history and reports, and AI-powered sheet generation.
Free Trial

All new accounts receive a 14-day free trial of the Starter plan. During the trial, you have full access to your plan's features. No payment information is required to start a trial. At the end of the trial period, if you have not subscribed to a paid plan, your account will enter read-only mode: you will be able to view your existing data but will not be able to create or activate new sheets.

Billing and Renewal

Subscriptions are billed monthly and renew automatically on the same day each month. Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on file for each billing cycle until you cancel.

Cancellation

You may cancel your subscription at any time through the Subscription management page or the Stripe billing portal. Upon cancellation, your subscription remains active through the end of your current billing period. After that, your account enters read-only mode. Your data is retained and accessible; you simply cannot create or activate new sheets until you resubscribe.

Past-Due Payments

If a payment fails, your account will be marked as past due. We will attempt to collect payment according to Stripe's retry schedule. If payment remains unsuccessful, your account may be placed in read-only mode until the balance is resolved.

Price Changes

We reserve the right to change subscription pricing. We will provide at least 30 days' notice of any price increase via email to your registered address. Price changes take effect at the start of your next billing cycle following the notice period.

4. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited bulk email, spam, or use the Service's email features for any purpose other than legitimate sign-up communications.
  • Post or distribute content that is illegal, defamatory, obscene, threatening, harassing, or that infringes on the intellectual property rights of others.
  • Collect or harvest personal information of Participants for purposes unrelated to the sign-up sheets you administer, or sell, share, or misuse Participant data.
  • Use automated scripts, bots, scrapers, or other automated means to access or interact with the Service without our prior written consent.
  • Attempt to gain unauthorized access to other users' accounts, Organizations, or any part of our infrastructure.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying systems.
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
  • Use the Service for any purpose that violates applicable local, state, national, or international law.

5. Content and Data

Your Content

You retain ownership of all content you create or upload to the Service, including sheet descriptions, organization branding, and custom field configurations. By using the Service, you grant us a limited, non-exclusive license to store, display, and transmit your content solely for the purpose of operating the Service.

Participant Data

As an Administrator, you are responsible for how you use Participant data collected through your sign-up sheets. You agree to handle Participant data in accordance with applicable privacy laws and our Privacy Policy. You must not use Participant data for purposes beyond the scope of the sign-up sheets you administer without obtaining appropriate consent from the Participants.

Data Retention

Sheets and sign-up records are archived rather than permanently deleted, even after closure. This enables engagement history tracking for your Organization. If you require permanent deletion of specific data, please contact us at support@simonsayssignup.com.

6. Intellectual Property

The Service, including its design, code, branding, logos, and documentation, is owned by Simon Says Sign Up and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our prior written consent.

"Simon Says Sign Up" and the Simon Says Sign Up logo are trademarks of Simon Says Sign Up. You may not use our trademarks without our prior written permission.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL SIMON SAYS SIGN UP, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Simon Says Sign Up and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that:

  • You have violated these Terms or our Acceptable Use policy.
  • Your use of the Service poses a security risk or may cause harm to other users.
  • Your account has been inactive for an extended period and your subscription has lapsed.
  • We are required to do so by law.

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a reasonable period (at least 30 days) following termination, unless the termination is due to illegal activity. After that period, we may delete your data.

You may terminate your account at any time by cancelling your subscription and contacting us at support@simonsayssignup.com to request account deletion.

10. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will make reasonable efforts to notify Administrators of material changes that affect their use of the Service.

11. Changes to These Terms

We may revise these Terms from time to time. We will notify registered users of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of Georgia, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Simon Says Sign Up regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
